1. Acceptance of Terms

By accessing or using the services provided by Sentral Systems LLC ("Company", "we", "us") including QuikSMS, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

We reserve the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of the modified Terms.

2. Description of Services

QuikSMS is an AI-powered voice receptionist and messaging service designed for small businesses. Our service:

  • AI Voice Receptionist: Answers your calls live with AI that sounds human, handles customer questions, and captures lead information
  • Missed Call Texting: Automatically texts callers who hang up before the AI answers
  • Call Processing: Your calls may be recorded, transcribed, and processed by AI to provide the service and generate follow-up summaries
  • Offers call forwarding and customer engagement features
  • Provides a customer portal for configuration, knowledge base, and analytics

3. User Accounts

To use our services, you must create an account and provide accurate information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

4. Billing, Subscriptions, and Trial Terms

Our services are offered on a subscription basis with usage-based pricing:

Trial Period

  • New subscribers pay a $1.00 trial fee at checkout
  • The trial period is 7 days during which the monthly base fee and usage charges are waived
  • Trial accounts are subject to reduced quotas (50 SMS messages per day)
  • Pro Learning features are not available during the trial period, even if selected
  • You may cancel during the trial to avoid monthly charges

After Trial

  • Monthly base fee: $97/month
  • Voice minutes: Usage-based billing per minute of AI call time
  • SMS usage: $0.075 per message (100 included in base)
  • Pro Learning (if selected): $0.10 per learning event
  • Subscription fees are billed in advance and are non-refundable except as required by law

General Terms

  • You authorize us to charge your payment method on a recurring basis
  • You may cancel your subscription at any time through the customer portal or by contacting us
  • Phone numbers provisioned for your account may be reassigned after cancellation
  • Trial benefits are limited to one per customer; returning customers are not eligible for trial pricing

5. Acceptable Use

You agree NOT to use our services to:

  • Send spam, unsolicited messages, or harassing communications
  • Violate any applicable laws or regulations (including TCPA, CAN-SPAM)
  • Impersonate any person or entity
  • Transmit malicious code or interfere with our systems
  • Engage in fraudulent or deceptive practices
  • Use the service for any illegal purpose

We reserve the right to suspend or terminate accounts that violate these terms.

6. AI-Generated Content

Our service uses artificial intelligence to generate responses. You acknowledge that:

  • AI-generated responses may occasionally be inaccurate or inappropriate
  • You are responsible for reviewing and customizing your AI's behavior through the portal
  • We are not liable for any consequences arising from AI-generated messages
  • You should inform your customers that they may be communicating with an AI assistant

7. Data and Privacy

We take your privacy seriously. Our data practices include:

  • Message content is processed to provide the service and improve AI responses
  • We use aggregated, anonymized data for AI training and improvement
  • We do not sell your personal data to third parties
  • Business configuration data is stored securely and only accessible by you
  • Analytics data is retained for 30 days and then archived

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENTRAL SYSTEMS LLC SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or failures
  • Actions taken based on AI-generated content

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Sentral Systems LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service or violation of these Terms.

10. Termination

We may suspend or terminate your access to our services at any time for:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Any other reason at our sole discretion

Upon termination, your right to use the service ends immediately. Data may be deleted after 30 days.

11. Governing Law

These Terms are governed by the laws of the State of Oklahoma, United States. Any disputes shall be resolved in the courts located in Oklahoma County, Oklahoma.
